Zofa is the company that operates an industrial park outside (zone)

Based on the Decree:

* 46-91 "Law of Export Processing Zones" (Gazette No.221 of 22 November 1991).
50-2005 * Rules of the Order of export processing zones "
* Articles 22, 55, 80, 81, 82, 83 and 85 of Decree No. 31-92 and addition to Decree No. 31-92, paragraph d) of Decree No.21-2003.

This application procedure and the present rate of operation approved by the Regular Session in CNZF no.117 of 7 October 2005 and took effect the same day.

II. Necessary Requirements:

To qualify as eligible ZONE ADMINISTERED (ZOFA), the company must have a minimum of 2 thousand five hundred square meters of roof industrial infrastructure in line with the stipulations of paragraph 15 of Article 27, Chapter VII of Decree 50-2005 "Regulation of the Order of Export Zones."

Companies interested in obtaining from the National Commission of Free Zones (CNZF) permission to establish as firm USUARIA Free Zone in the form of ADMINISTERED ZONE (ZOFA), as defined by Chapter VII of the Regulations of the Zoning Ordinance EPZs Export directing a written request must be in original and one hard copy and electronic copy to the Technical Secretariat of the National Commission of Free Zones, containing the following information:

* Letter of introduction and request for approval to enter the Free Trade Zone System project, addressed to the Technical Secretary of the CNZF and signed by the Trustee of the company to be certified by a notary.

1. Present Feasibility Study Project. This must be accompanied by a short executive summary which should contain inter alia the following information:

1. Project background, origin, name and background (s) of the investor group (be they natural or legal persons) under the project, membership shares, name of legal representative, estimated start date of operations, etc..
2. Market survey, the total volume of exports, the country of origin of raw materials, names of countries to which production will be exported, indicating percentages of exports by country.
3. Project Implementation Timeline
4. Overall investment plan: source, amount, breakdown of the destination for investment.
5. Size and location.
6. Technical and engineering: a complete description of the industrial process or service, develop a list of products, annual production plan, describe the production lines (numbers, technology, etc.), list of machinery & equipment, layout the facilities.
7. Budget revenues and expenditures.
8. Present cash flow, balance sheets and income statement are projected for the first two years of operation of the new company and the financial statements of the partners for the last fiscal period (if these are companies).
9. Financial evaluation.
10. Organization.
11. Industrial roof, indicating the size and usage of each area.
12. Details of the local delegation was put up for customs.
13. Proposed Rules governing the operation of the area.
14. Number of people working in the company (national and foreign).
15. National value added.
16. Conclusions and recommendations.

1. Product Description and technical specifications of the product (s) to be developed (s). Submit the same sample (s).
2. Letter from the Executive Secretary of the Free Zones Corporation, requesting that once the business is approved under the scheme Zones, Free Zones Corporation, will be the operating company which belong to the company, specifying remaining subscription Contract and Conditions for use of Technical Direction.
3. Copy of the deed of constitution of the company, as a unique object by specifying the operations of its business in Free Zone, duly registered public business, all in accordance with the laws of Nicaragua. The copy must be given by a Notary Public (Vale as original).
4. Copy of Power of Attorney of Directors, duly registered public business, all in accordance with the laws of Nicaragua. The copy must be given by a Notary Public (Vale as original).
5. Copy of identification of legal representative (person to whom the board of the company given the general power of administration). If the person is Nicaraguan, the identification must be a photocopy of the card. If the legal representative is abroad, a photocopy of the passport.
6. As the case may be: Writing-owned property, contract or promise to lease the property to occupy. Annexing property owned by the contract.
7. Location map of the property and polygon inscribed in CATASTRO (attach copy) indicating directions or coordinates and azimuth in order to specify the location, dimensions and boundaries, which should match the domain of property deed recorded in the Public Register .
8. Two (2) bank references and letters from two (2) letters of reference from business partners of the firm (foreign or national references). If the company is incorporated companies themselves, must also submit two (2) requirements listed above, the financial status of (2) fiscal years.
9. Fill out the application form which is enclosed, and Annexes (1 to 7) with its highest possible alert.
10. Cash receipt in payment for a non-refundable charge of three hundred dollars net (U.S. $ 300.00) to the National Commission of Free Zones, in Processing and claims processing.
11. Cash Receipts for deposit of ten thousand dollars net (U.S. $ 10,000.00) to the Commission by way of guarantee.
12. Giving the Delegation of the Customs Area of the facilities necessary for the effective discharge of duties, according to Arto. 13 of Chapter IV and Arto.29 Chapter VIII of Decree No.50-2005 "Rules of the Order of Export Zones." As well as the technical requirements necessary to operate the free zones with the Automated System for Customs ASYCUDA + +.
13. Environmental Permit or authorization as the case may be, issued by the Directorate of Environmental Quality, Ministry of Environment and Natural Resources (MARENA). This, according to Arto.62, Chapter XVI, of Decree No.50-2005 "Rules of the Order of Export Zones."
14. Certification and / or Proof of processing the application for the license in the Field Opening Occupational Safety and Health Administration, issued by the Directorate General of Occupational Safety and Health Administration of the Ministry of Labor (MITRAB). That pursuant to the provisions of Ministerial Resolution of Occupational Health and Safety, Arto No.6, Apt No.2, Letter d (Published in the Gazette No.165, Diario Oficial del 1ro. September 1993); and Arto.68, Chapter XVII, Decree No. 50-2005 of the "Regulations of the Order of Export Zones.
15. Proof of availability of basic utilities (water, domestic waste water management, electricity, telephone network).
16. Attestation issued by the Ministry of Transport and Infrastructure (MTI), indicating that the company is located outside the right of way (if the company will be built along the road).
17. Letter of support for the Constancia project and Land Use, issued by the mayor of the municipality where the company will install. However, before commencing construction, the company must have the building permit issued by the relevant municipality.
18. Present Sanitary License issued by the Ministry of Health (MINSA), if the business activity is related to food or beverages. In addition, before starting the production company must have the license for each product Health to develop.

Note: The National Commission of Free Zones reserves the right to request additional requirements.

III. The Technical Secretariat upon receipt of full documentation, must reply within the next thirty (30) days.

IV. The Technical Secretary of the Commission, made the request at the next meeting. Must be accompanied by technical and legal opinion or advice.

V. The Commission shall decide on the applications submitted and through its Executive Secretary to inform interested parties of its decision.

VI. The application can be approved, denied definitively whether or corrected according to the Commission lacks information needed corrections or add information needed to complete the feasibility study. In the latter case, the applicant shall be notified (by the Executive Secretary) of the resolution and once the requirements prescribed in this resolution, the applicant may submit further study of the application for consideration. Once the company has been approved by the Secretary of the Technical CNZF will notify you in writing and then pass the certification of approval issued by the Legal Counsel of the Commission. Also communicate to the approval of the municipality and the following institutions of the Executive Branch: MHCP, DGI, DGSA, MARENA, MAGFOR, and MITRAB MIGRATION.

* If the application is approved, the operator must send a copy of the CNZF technical assistance contract signed with the operating company.
* If the application is approved you must complete the company information for his file in CNZF, this should be: RUC number, employer number INSS, log signatures of the representatives of the company (must have general power of administration or any other kind of mandate sufficient).
* After completing the requirements outlined above CNZF gives the company the permit Usuaria operation credited as such. The CNZF notify the Directorate General of Customs Services of the existence of the new company and its geographical location so that it can begin operations. In the same manner notified to the Directorate General of Revenue, Ministry of Finance and Public Credit, Ministry of Environment and Natural Resources, and Ministry of Labor, to the municipality in order to enjoy the blessings of tax set by Law

Favorable opinion of the Directorate General of Customs - DGSA, according to Arto. 32, Chapter VIII, Decree No. 50-2005 of the "Regulations of the Order of Export Zones" (It should be applied to the DGA by the Technical Secretariat of the Commission once the company is ready to initiate productive operations).
* The user must request the Technical Secretariat of the formats and instructions CNZF of statistical reports to be generated and sent regularly to the CNZF during operations within the regime.

XI). Contract signing of investment and operations areas of French National Commission

Once the company was approved must sign a contract to operate under this contract and define the standard operations of the company to host Zone.

XII). FEES AND PROCEDURES FOR APPLICATION OF SECURITY DEPOSIT

Pay a fee of three hundred dollars ($ 300.00) to the National Commission of Free Zones in Processing and Application.

Deposit Guarantee for a value of ten thousand dollars net (U.S. $ 10,000.00) in cash while the term of which will be the company operates under. Once such deposit the Technical Secretariat will issue the relevant permit for operation, which will ensure the tax benefits.

Open to the Free Zones Corporation, a monthly rent for use of the equivalent of fifty cents on the dollar (U.S. $ 0.50) per square meter of occupied industrial roof.
